Welcome to ArcShift, LLC (“ArcShift,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of https://www.arcshiftllc.com (the “Site”) and any related features or content we provide. By accessing or using the Site, you agree to these Terms and our Privacy Policy, including consent to cookies and analytics tracking as described there. If you do not agree, do not use the Site.

1) Eligibility & Agreement
1.1 Binding Agreement. By using the Site, you represent you can form a binding contract and accept these Terms and our Privacy Policy.
1.2 Age. You must be 18+ (or the age of majority in your jurisdiction).
1.3 Updates. We may modify these Terms at any time; the “Last Updated” date reflects the current version. Continued use after changes = acceptance.

2) Scope; Offline Engagements Control
2.1 What we do. We provide consulting services (e.g., cloud repatriation strategies, infrastructure optimization, assessments).
2.2 Offline-only advice. All professional advice and deliverables are provided offline under a separate written agreement/statement of work (SOW) with you. If Site content conflicts with an SOW, the SOW controls.

3) Information Content; No Online Advice
The Site (including tools, calculators, estimates, blog posts, and examples) is general informational content only. It does not constitute legal, financial, technical, or other professional advice, a recommendation, or an offer, and must not be relied upon to make decisions. Your use of the Site does not create a client, fiduciary, or professional relationship with ArcShift, LLC. Any calculator outputs are illustrative only and not guarantees of cost, savings, or performance.

4) Privacy; Cookies & Tracking Consent
We collect information when you use our Site, including via cookies and similar technologies. We use this information to operate, secure, and improve the Site and to understand usage (e.g., through Google Analytics). You can manage cookies at any time using our cookie banner or your browser settings. For details, see our Privacy Policy.

5) Ownership; License; Feedback; Marks
5.1 Ownership. The Site, its content, design, code, and compilations are owned by ArcShift or its licensors and protected by law.
5.2 Limited license. We grant a revocable, non-exclusive, non-transferable license to access the Site for personal, non-commercial use. You may not reproduce, modify, scrape, frame, mirror, or create derivative works without our written consent.
5.3 Feedback. If you submit ideas or suggestions, you grant ArcShift a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation.
5.4 Trademarks. All trademarks and logos are the property of their respective owners.
5.5 Third-party marks (logos we display). Third-party names/logos shown on the Site are for identification and descriptive purposes only and do not imply endorsement, sponsorship, or affiliation unless expressly stated.

6) Acceptable Use; Security
You agree not to: (a) violate laws; (b) post unlawful, harmful, defamatory, infringing, or obscene content; (c) reverse engineer, decompile, or attempt to derive source code; (d) interfere with or disrupt the Site or security; (e) upload malware or perform testing without written permission; (f) harvest data or use bots/scrapers; (g) misrepresent identity or affiliation; (h) use the Site to compete with or benchmark us; (i) bypass access controls or rate limits. Report security issues via our Contact Us Page.

7) Third-Party Services & Links
The Site may link to third-party websites/services. We do not control or endorse them and are not responsible for their content or policies. Your use is at your own risk.

8) Tools, Calculators & Estimates
Outputs (including the Cloud Repatriation Calculator) may contain assumptions and are illustrative only; they are not guarantees of cost, savings, or performance. You are solely responsible for how you use any outputs.

9) Monitoring; Suspension
We may monitor use to operate, secure, and improve the Site and may suspend or restrict access at any time, with or without notice, for suspected violations, security, maintenance, or legal reasons.

10) Availability; Changes; Force Majeure
The Site may be unavailable or changed without notice. We are not liable for delays or failures due to events beyond our reasonable control (e.g., internet outages, cyberattacks, natural disasters, labor issues, acts of government).

11) Disclaimers
THE SITE AND ALL CONTENT (INCLUDING CALCULATORS/ESTIMATES) ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR QUIET ENJOYMENT. WE DO NOT WARRANT THE SITE WILL BE ERROR-FREE, SECURE, UNINTERRUPTED, OR THAT DEFECTS WILL BE CORRECTED. YOU ASSUME ALL RISK FOR YOUR USE.

12) Limitation of Liability
​TO THE FULLEST EXTENT PERMITTED BY LAW, ARCSHIFT, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS (COLLECTIVELY, THE “ARCSHIFT PARTIES”) WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION—IN EACH CASE WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR OTHERWISE—EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
IN NO EVENT WILL THE AGGREGATE LIABILITY OF THE ARCSHIFT PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE EXCEED US $0.
YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE SITE IS TO STOP USING THE SITE.
LIMITATION PERIOD. ANY CLAIM MUST BE FILED WITHIN ONE (1) YEAR AFTER THE EVENT GIVING RISE TO THE CLAIM OR BE PERMANENTLY BARRED.
SAVINGS CLAUSE. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, THIS SECTION APPLIES ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.
NON-WAIVABLE CLAIMS. NOTHING IN THIS SECTION LIMITS LIABILITY THAT CANNOT LAWFULLY BE LIMITED.

13) Indemnification
You will defend, indemnify, and hold harmless ArcShift, LLC and its affiliates from claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Site; (b) your violation of these Terms; or (c) your violation of any third-party rights.

14) IP/Trademark Takedown
If you believe content on the Site infringes your rights, submit a notice via our Contact Us page (Subject: “IP Takedown”) with: (a) identification of the work/mark; (b) the allegedly infringing material and location; (c) your contact info; (d) a statement of good-faith belief and your authority to act; and (e) your signature. We may remove content in our discretion.

15) Export; Sanctions; Government Use
Comply with U.S. export controls and sanctions; do not use the Site where prohibited. Government users agree the Site is commercial and subject to restricted rights under applicable regulations.

16) Disputes; Class-Action & Jury Waiver
16.1 Governing law & venue. Colorado law (conflicts excluded). Exclusive venue: state or federal courts in Colorado.
16.2 Arbitration (at our option). At ArcShift, LLC’s discretion, any dispute may be submitted to final and binding arbitration before a single arbitrator under AAA Commercial Rules in Colorado. Individual relief only; limited discovery.
16.3 Small-claims carve-out. Either party may bring an individual claim in small-claims court.
16.4 Injunctive relief. We may seek injunctive relief to protect IP or confidentiality.
16.5 Class/Jury waiver. YOU AND ARCSHIFT, LLC WAIVE CLASS OR REPRESENTATIVE ACTIONS AND JURY TRIAL. CLAIMS MAY BE BROUGHT ONLY INDIVIDUALLY.

17) Miscellaneous
17.1 Severability. If any provision is unenforceable, the remainder remains in effect.
17.2 No waiver. Failure to enforce is not a waiver.
17.3 Assignment. You may not assign; we may assign without restriction.
17.4 Entire agreement. These Terms + Privacy Policy are the entire agreement regarding Site use.
17.5 Headings. For convenience only.
17.6 Survival. Sections 2–7, 9–17 survive termination.
17.7 Interpretation. “Including” means “including without limitation.”
